Acquisition of Racine Federated, Inc. by Badger Meter

Milwaukee, WI, U.S.A. — (METERING.COM) — January 19, 2012 – Badger Meter Inc. is to acquire flow measurement and process instrumentation company Racine Federated, Inc. in Wisconsin, USA and its subsidiary located in Thetford, England, for approximately US$57 million.

The transaction is expected to close in the first quarter 2012.

Racine Federated is a private company founded in 1970, employing around 120 workers in its facility. The company manufactures turbine flow meters, variable area flow meters, hydraulic testing, differential pressure/primary flow elements, vortex flow meters for liquids, gas and vapor as well as ultrasonic flow meters (transit-time and Doppler) and insertion MAG meters under the trade names of Blancett®, Dynasonics®, Flo-TechTM, Hedland®, Preso® and RacineTM Vortex. The company also manufactures Wyco® brand hydraulic concrete vibrators for the construction and civic infrastructure industries.

With approximate 40 percent of its business in the water industry and 60 percent in markets including industrial, oil and gas, municipal and energy management, Racine is an excellent addition to Badger Meter products, said the company in a statement.

“Building on our acquisitions of Cox Flow Measurement in 2010 and Remag AG in early 2011, the acquisition of Racine Federated will significantly expand Badger Meter´s global flow measurement business,” commented Badger Meter´s CEO Rich Meeusen. “It gives us a broader and deeper product line and an established customer base. It also provides opportunities for future growth and international expansion.”

The Racine Federated management team will remain with the company.
